Terms of Service

By accessing this website you agree to these terms. If you do not accept them, please do not use the site. Where we supply services under a signed service agreement, that agreement takes precedence over any conflicting provision here.

We take care to keep information accurate but make no warranty that it is complete or current. Descriptions of services are indicative; the scope of any engagement is defined in a written proposal or statement of work.

• Managed services are supplied on a rolling monthly basis unless a fixed term is agreed in writing, with 90 days' notice to terminate.
• Project work is quoted against a defined scope. Changes to scope are handled through a written change request and may affect price and timescale.
• Response and resolution targets are set out in the applicable service level schedule and measured during covered hours.
• Third-party hardware, software and connectivity are supplied subject to the manufacturer's or provider's own terms and warranties.

You agree to provide timely access to premises, systems and information required to deliver the services, to maintain valid licences for software in use, to nominate an authorised contact for approvals, and to follow reasonable security recommendations. Delays or failures caused by non-cooperation are excluded from service level measurement.

Recurring fees are invoiced monthly in advance; project fees according to the agreed milestone schedule. Invoices are payable within 14 days. Late payment may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. All prices exclude VAT unless stated otherwise.

All trade marks, text, imagery and code on this website belong to Encompass Care Services Ltd or its licensors and may not be reproduced without written permission. Documentation and configurations produced specifically for a client under a paid engagement are licensed to that client for its internal use.

Each party will keep the other's confidential information secure and use it only for the purposes of the engagement. This obligation survives termination for three years, and indefinitely for personal data and security credentials.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited. Subject to that, our total aggregate liability in any twelve-month period is limited to the fees paid by you in that period, and we are not liable for indirect or consequential loss, loss of profit, or loss of data where a functioning backup was declined or obstructed.

Either party may terminate for material breach that remains unremedied 30 days after written notice. We may suspend services where fees are more than 30 days overdue or where continued operation would create a serious security risk, having first attempted to notify you.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
